Terms of Service

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of the Service

HillSpace is a trust-focused platform intended to help people find and list verified rental properties. At present, the Service is in a pre-launch / waitlist stage.

Key points about the current Service:

• Features, functionality, availability, and the product itself may change significantly before and after public launch.
• We may add, modify, or remove features at any time without prior notice.
• The Service is provided for informational and waitlist purposes only at this stage.
• HillSpace does not currently facilitate transactions, payments, or contractual relationships between users.

3. Waitlist

By joining the HillSpace waitlist, you acknowledge and agree that:

• Placement on the waitlist does not guarantee access to the platform, early access, priority, or any specific features or benefits.
• Invitations to the platform (if any) will be issued at our sole discretion and may be rolled out gradually, including on a city-by-city or phased basis.
• The product, features, launch timeline, and eligibility criteria may change at any time.
• We may contact you using the email address and optional phone number you provide for updates, invitations, product communications, or related purposes.
• You may request removal from the waitlist at any time by contacting us.
• We reserve the right to remove any person from the waitlist or refuse access for any reason, including violation of these Terms.

4. Account and Accuracy of Information

When you join the waitlist or otherwise interact with the Service, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of the information you provide.

You must not:

• Provide false, misleading, or incomplete information
• Impersonate any person or entity
• Create multiple waitlist entries for the purpose of manipulating the system

We reserve the right to suspend or remove any waitlist entry that appears to contain inaccurate or fraudulent information.

5. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Submit false, misleading, or fraudulent information (including fake property details, if and when that functionality becomes available)
• Impersonate any person, landlord, agent, or entity
• Attempt to defraud HillSpace, other users, or any third party
• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks
• Interfere with or disrupt the integrity, security, or performance of the Service
• Use any automated means (bots, scrapers, etc.) to access the Service without our prior written permission
• Reverse engineer, decompile, or attempt to extract the source code of any part of the Service
• Use the Service for any commercial purpose not expressly authorized by us
• Violate any applicable local, state, national, or international law

Violation of this section may result in immediate suspension or termination of your access to the Service and may expose you to civil or criminal liability.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the HillSpace name, logo, trademarks, website design, text, graphics, logos, icons, images, audio clips, software, and the selection and arrangement thereof — are owned by HillSpace or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purposes and in accordance with these Terms. You may not:

• Copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service
• Use HillSpace’s name, logo, or branding without our prior written consent
• Remove any copyright, trademark, or other proprietary notices

Any feedback, suggestions, or ideas you submit to us about the Service may be used by us freely and without compensation or obligation to you.

7. User Content (Future Functionality)

If and when the Service allows users to submit content (such as property listings, reviews, messages, or other materials), the following will apply:

• You retain ownership of your content, but you grant HillSpace a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute that content in connection with operating and improving the Service.
• You are solely responsible for the content you submit and represent that you have all necessary rights to grant the above license.
• We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, HILLSPACE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION

During the pre-launch and beta stages, features may change, be delayed, or be discontinued without notice. We do not guarantee that you will receive access to the platform or any particular feature.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HILLSPACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY OTHER MATTER RELATING TO THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT (IF ANY) YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless HillSpace and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any content you submit or any false or misleading information you provide

11. Termination

We may suspend, restrict, or terminate your access to the Service (including your waitlist entry) at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

You may stop using the Service and request removal from the waitlist at any time by contacting us.

12. Future Marketplace Disclaimer

When the full HillSpace platform launches, it is intended to facilitate connections between users (tenants, landlords, agents, etc.). HillSpace is not a party to any rental, lease, or other transaction between users. All transactions remain solely between the parties involved and are subject to verification processes, applicable laws, and the parties’ own agreements.

HillSpace does not guarantee the accuracy of listings, the identity or reliability of users, or the outcome of any transaction.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved amicably through good-faith negotiations. If the dispute cannot be resolved amicably within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Nigeria.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date and, where appropriate, provide notice via email or through the Service.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and HillSpace regarding the Service.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
• Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
